Attached is a first draft of an unincorporated constitution.

I have had to make a lot of amendment to the Co-ops UK model in order to
reflect your desire for consensus  decision making.  Their model
contained a reserve position of voting if a consensus cannot be reached
but I think that actually undermines the principle of consensus, since
it empowers one person to keep saying no until it gets to a vote.

I have also taken out constitutional reference to a management
committee, since I think that is not what you envisage, wanting to keep
as many members as possible close to the decision making.

Instead I have suggested a schedule of delegation under which the
members would agree that certain responsibilities would be taken on by
individuals or committees where this is necessary for practical purposes

I have kept the Objects pretty vague and will suggest more detailed
objects , values and mission in the business model.

If you have no objection I would like to run this back past Co-ops UK
legal services to see what they think about it.
